RediSail Service Agreement

This Agreement applies to all users of Xiamen RediSail Creative Network Technology Co., Ltd. (hereinafter referred to as “RediSail”). By using the services provided by RediSail, you are deemed to have read, understood and accepted all terms of this Agreement.

1) Upon applying for membership, you must provide accurate, true, up-to-date and complete registration information.

2) RediSail reserves the right to modify or update this Agreement where necessary. Any such changes will be promptly published on the RediSail website (URL: www.RediSail001.com) and will become effective immediately.

3) If you do not agree with the changes made to this Agreement, you must cease using the RediSail services. Continued use of the services shall be construed as your acceptance of the updated terms.

1) RediSail users include non-registered users, registered members and paying members. RediSail users are individuals or organizations with full legal capacity who are capable of assuming legal responsibility. If you do not meet these qualifications, you must cease using RediSail services.

3) RediSail reserves the right, at its sole discretion, to suspend or permanently terminate the provision of services to any user, whether temporarily or permanently.

4) RediSail services will not be provided to any organization or individual whose membership has been revoked, either temporarily or permanently, by RediSail.

By registering as a member of RediSail, you agree to the following terms:

4) The following types of content are strictly prohibited on RediSail:

Any language that is discriminatory, defamatory or derogatory based on race or gender; 

Any form of harassment, abuse or threats directed at other users; 

Any content that infringes upon the proprietary rights or privacy rights of any third party, including but not limited to copyrights, patents, trademarks and trade secrets; 

Any content that violates applicable laws and regulations governing Internet use.

2) You agree to maintain and update your registration information to ensure it remains accurate, true and complete. Failure to provide accurate, true, up-to-date or complete information may result in the suspension or termination of your membership services by RediSail.

1) During the registration process, you shall select a login name and password. You may use them to access your RediSail account at any time. A RediSail account may only be accessed on one device at a time. If you log in on a new device, any previously logged-in devices will be automatically logged out.

To comply with a valid legal obligation; 

2) You shall take all necessary precautions to safeguard your login credentials. RediSail shall not be liable for any loss or damage arising from the unauthorized use of your account due to your negligence. You assume full responsibility for all actions and transactions conducted through your account. 

1) By registering for and using RediSail services, you expressly acknowledge and consent to our collection and use of your personal information. Your consent may be given by the User via actions such as checking the “Agree” box or clicking the “Agree” button. You reserve the right to withdraw your consent at any time.

2) Only paying members of RediSail are authorized to publish commercial information on the Platform. RediSail reserves the right to review, approve or remove any content submitted by members.

3) You are solely responsible for ensuring that all information you submit or publish on RediSail Platform is accurate, complete, up-to-date and legally compliant. While RediSail may, at its discretion, review user-submitted content, it makes no representations or warranties regarding the accuracy or legality of such content. RediSail shall not be liable for any claims, losses or damages arising from user-published content.

5) RediSail compiles and maintains a database containing global shipping schedules, supplier information and container data. RediSail holds the copyright in such database and the design of its website. Any unauthorized reproduction or commercial use of RediSail data shall constitute a violation of RediSail’s rights, and RediSail reserves the right to take legal action against any such unauthorized use. 

6) RediSail shall not disclose any user information to third parties without the user’s prior consent, except as required by applicable laws and regulations. Notwithstanding the foregoing, RediSail may disclose user information under the following circumstances: 

To protect the rights, interests or safety of RediSail, its users or the general public.

7) By submitting or posting any content on RediSail, you hereby grant RediSail an exclusive, worldwide, perpetual, royalty-free and fully sublicensable (at multiple levels) right and license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform and display such content (in whole or in part), to create derivative works thereof and/or to incorporate your content into other works in any format, media or carrier now known or hereafter developed. (For the avoidance of doubt, “your content” includes any and all information you submit, publish or otherwise make available through RediSail.)

1) Registration as a free member and access to the corresponding services are provided at no cost. Paid membership services, including value-added and promotional services, are subject to the fees specified on RediSail website. RediSail reserves the right to unilaterally modify the applicable fees and related terms at its sole discretion. Any such modifications will be published immediately on the relevant webpage.

2) During the term of a paid membership, the member shall be entitled to the various benefits, discounts and value-added services provided by RediSail.

3) Paid membership services are personal to the registered account holder and may only be used by such account holder. Paid membership benefits are non-transferable between RediSail accounts. Members are expressly prohibited from gifting, lending, transferring or selling their membership to any third party. Any unauthorized transfer of a paid membership shall result in the immediate termination of the paid membership privileges of both the transferring and receiving accounts without prior notice. And the member shall bear all losses resulting therefrom.

4) In the event that the member repeatedly violates the terms of this Agreement or any applicable laws and regulations, or RediSail determines that the member’s conduct has caused harm to the reputation or interests of RediSail or any third party, RediSail reserves the right to revoke the paid membership of any member without compensation.

Falsely representing or misappropriating the identity of another entity to publish commercial information or engage in business activities; 

5) No user shall obtain or purchase paid membership services through unauthorized means, including but not limited to theft, exploitation of system vulnerabilities, or purchasing from any unauthorized third-party platforms purporting to sell RediSail memberships. RediSail reserves the right to revoke the access privileges of any user who acquires a membership in violation of this provision. The user shall be solely responsible for any resulting losses, and RediSail shall bear no liability in this regard.

6) A member whose paid membership is revoked shall forfeit all rights associated with paid membership, including but not limited to participation in RediSail events and access to any discounts or value-added services offered by RediSail.

7) Unless expressly authorized in writing by RediSail, members are prohibited from copying, selling, sublicensing or otherwise making available any content or services provided under the RediSail membership program to any third party.

8) Users may purchase paid membership services through RediSail’s online payment system. Upon successful payment, all paid services shall become effective immediately. Except where a failure in RediSail’s operations prevents the member from accessing their membership services, all payments shall be deemed final and non-refundable.

Using RediSail for any illegal, unlawful or prohibited activities; 

Excessively posting duplicate or spam content through RediSail’s publishing functionalities; 

Accessing or using another individual’s RediSail account name and/or password without proper authorization; 

Permitting third parties to access RediSail services without RediSail’s prior written approval, including but not limited to sharing or transferring login credentials; or disclosing business information obtained through RediSail.

2) Upon termination of membership services, the user shall be prohibited from posting or publishing any content on RediSail, whether directly or through a third party; the user’s registration information and all associated data stored on RediSail will be deleted or permanently removed without recovery; and RediSail reserves the right to pursue legal action against the user for any violations of applicable laws or breaches of this Agreement that occurred prior to termination.

This Agreement is executed in both Chinese and English, which versions shall be equally binding and enforceable. In the event of any discrepancy or inconsistency between the two versions, the Chinese version shall prevail.

X. Disclaimer Regarding the Use of RediSail Information and Services

1) The User acknowledges and agrees that their use of RediSail is at their sole risk. RediSail disclaims any liability for and makes no representations or warranties regarding the accuracy, timeliness and security of any information posted by the User and the content accessed through its platform.

2) The User shall be solely responsible for verifying the authenticity, accuracy and reliability of any information obtained through RediSail. RediSail shall not be liable for any damage to the User’s computer system or any loss of data resulting from the downloading or use of data or information obtained through the Platform.

3) RediSail, including its employees, owners and agents, shall not be liable for any loss, damage, or injury suffered by the User as a result of reliance on or use of any information published on RediSail, nor shall it be liable for any decisions or actions taken based on such information.
